01 Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the CommercialContractor.ca website located at https://commercialcontractor.ca (the "Site") and any related services provided by CommercialContractor.ca ("we," "us," or "our").

By accessing or using the Site in any way, you agree to be bound by these Terms. If you do not agree to all of these Terms, do not access or use the Site. These Terms apply to all visitors, project owners, contractors, and any other users of the Site.

02 Description of Service

CommercialContractor.ca is an online platform that connects commercial construction project owners ("Project Owners") with verified commercial contractors ("Contractors") across Ontario, Canada. Our services include:

• Allowing Project Owners to post commercial construction project inquiries at no cost.
• Matching Project Owners with relevant Contractors based on project type, location, and scope.
• Providing informational content about commercial construction services, project types, and industry resources.
• Displaying Contractor profiles and directory listings.

We are a marketplace platform only. We are not a contractor, construction company, or party to any construction agreement between a Project Owner and a Contractor.

03 Eligibility

To use the Site, you must be at least 18 years of age and have the legal authority to enter into binding agreements. By using the Site, you represent and warrant that you meet these eligibility requirements.

If you are accessing the Site on behalf of a company, organization, or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms.

04 Acceptable Use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Submit false, misleading, or fraudulent project inquiries or contact information.
• Use the Site for any purpose that is unlawful, harmful, abusive, or otherwise objectionable.
• Attempt to gain unauthorized access to any portion of the Site or its related systems.
• Scrape, crawl, or otherwise extract data from the Site without our prior written consent.
• Use automated tools, bots, or scripts to interact with the Site in ways that interfere with normal operation.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Post or transmit any content that infringes the intellectual property rights of any third party.
• Use the Site to solicit Contractors or Project Owners for services unrelated to commercial construction.

We reserve the right to investigate any suspected violations of these Terms and to take any action we deem appropriate, including removing content and terminating access.

05 Project Postings

When you submit a project inquiry through the Site, you represent and warrant that:

• The information you provide is accurate, current, and complete to the best of your knowledge.
• You have the authority to engage contractors for the project described.
• Your project inquiry relates to a genuine commercial construction need in Ontario, Canada.

By submitting a project inquiry, you consent to us sharing your project details and contact information with Contractors in our network who we determine to be relevant matches. This sharing is an essential part of our matching service.

You acknowledge that submitting a project inquiry does not create any obligation on your part to engage any Contractor, nor does it create any obligation on any Contractor to submit a proposal.

We reserve the right to decline, remove, or limit any project inquiry at our sole discretion, including inquiries that appear fraudulent, incomplete, or outside our service scope.

06 Contractor Listings

Contractor profiles and directory listings on the Site are provided for informational purposes. While we make reasonable efforts to verify Contractor credentials including licensing, insurance, and WSIB compliance, we do not guarantee the accuracy, completeness, or currency of any Contractor information.

We are not responsible for the quality, safety, legality, or outcome of any construction work performed by Contractors listed on our Site. Any agreement between a Project Owner and a Contractor is solely between those parties. We are not a party to such agreements and assume no liability in connection with them.

Contractors listed on the Site are independent businesses and are not employees, agents, or representatives of CommercialContractor.ca.

07 Intellectual Property

The Site and all of its content, including but not limited to text, graphics, logos, images, page layouts, and software, are the property of CommercialContractor.ca or its content licensors and are protected by Canadian and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for its intended purpose in accordance with these Terms. You may not:

• Copy, modify, or distribute any content from the Site without our prior written consent.
• Use our name, logo, or branding in any manner that suggests endorsement or affiliation without our written permission.
• Remove or alter any copyright, trademark, or other proprietary notices on the Site.
• Create derivative works based on the Site's content or design.

08 Disclaimers

The Site and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The Site will be uninterrupted, secure, or error-free.
• The results obtained from using the Site will be accurate or reliable.
• Any Contractor you are matched with will be suitable for your specific project requirements.
• Contractor profiles, credentials, or project histories are complete or current.

Construction cost estimates, timelines, and other information published on the Site are for general informational purposes only and do not constitute professional advice. Always engage qualified professionals for project-specific guidance.

09 Limitation of Liability

To the maximum extent permitted by applicable law, CommercialContractor.ca, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or our services, including but not limited to:

• Loss of profits, revenue, data, or business opportunities.
• The quality, safety, or outcome of construction work performed by any Contractor.
• Any disputes between Project Owners and Contractors.
• Reliance on any content, information, or Contractor profile published on the Site.
• Unauthorized access to or use of our servers or any personal information stored therein.

Our total aggregate liability to you for any claims arising out of or related to these Terms or your use of the Site shall not exceed one hundred Canadian dollars (CAD $100.00).

Some jurisdictions do not allow the exclusion or limitation of certain types of damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

10 Indemnification

You agree to indemnify, defend, and hold harmless CommercialContractor.ca and its directors, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Site or our services.
• Your violation of these Terms.
• Any information you submit through the Site that is false, misleading, or infringes the rights of any third party.
• Any dispute between you and a Contractor or other third party.

11 Termination

We reserve the right to terminate or suspend your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

Upon termination, your right to use the Site will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including Sections 07 (Intellectual Property), 08 (Disclaimers), 09 (Limitation of Liability), 10 (Indemnification), and 12 (Governing Law).

12 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada. You consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in Ontario.

13 Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page. Your continued use of the Site after any changes constitutes your acceptance of the updated Terms.

We encourage you to review these Terms periodically. If you do not agree to the updated Terms, you must stop using the Site.
